Louer Capital Terms of Use

Welcome to Louer Capital & Advisory Partners Limited (“Louer Capital”, “we”, “our”, or “us”). These Terms & Conditions ("Terms") govern your access to and use of our website at louer.capital (the “Site”), our online services, and all associated communications, resources, and digital platforms we operate. By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree, you must discontinue use immediately.
1. Definitions
For these Terms, the following definitions apply:
1.1. "User"refers to any natural person, corporate entity, partnership, joint venture, trust, or governmental body that accesses, browses, or interacts with the Site, whether as a registered account holder or as a visitor.
1.2. "Content" means all information, documents, data, text, graphics, video, audio, photographs, white papers, market analyses, charts, interactive tools, software, code, and other materials made available on or through the Site.
1.3. "Services"efers to the advisory, investment banking, financial consulting, project finance, corporate structuring, and related services provided by Louer Capital outside the Site, which may be described for informational purposes on the Site.
1.4. "Applicable Law"includes all national, state, provincial, municipal, and international laws, regulations, codes of practice, guidelines, and industry standards that apply to the User or to Louer Capital.
1.5. "Personal Data"has the same meaning as under the Nigerian Data Protection Regulation (NDPR) and any other relevant data protection legislation, encompassing any information relating to an identified or identifiable individual.
These definitions are not exhaustive, and other terms may be defined within the context of specific clauses.
2. Acceptance of Terms
By using the Site, you expressly represent and warrant that:
2.1.You have read these Terms in full, understand them, and accept all obligations, rights, and liabilities contained herein.
2.2. You are at least 18 years of age or the legal age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract.
2.3. If you are using the Site on behalf of a corporate entity, you are duly authorised to bind that entity to these Terms.
2.4.Your access to and use of the Site is not prohibited by any Applicable Law, sanction list (including OFAC, UN, or EU), or regulatory restriction.
2.5.You acknowledge that Louer Capital may, at its sole discretion, update, amend, or replace these Terms at any time, and your continued use of the Site after such changes constitutes your binding acceptance of the revised Terms.
Failure to comply with these Terms may result in suspension, termination, or legal action without prior notice.
3. Amendments to Terms
Louer Capital reserves the absolute right, at any time and without prior notice, to:
3.1.Amend, update, or revise any part of these Terms.
3.2. Introduce new provisions or remove existing ones, whether in response to changes in law, operational needs, market conditions, or internal policy decisions.
3.3. Implement changes immediately upon posting, unless otherwise required by law to provide prior notice.
We will display a "Last Updated" date at the bottom of this page to indicate changes. In certain circumstances, such as material changes that impact your legal rights, we may provide additional notice via email, prominent on-site banners, or other appropriate channels.
It is your responsibility to regularly review the Terms. Your continued use of the Site after any change constitutes your irrevocable acceptance of the updated Terms.
4. User Responsibilities and Prohibited Conduct
You agree to use the Site only for lawful purposes and in full compliance with these Terms and all Applicable Laws. Specifically, you agree that you will:
4.1.Provide accurate information whenever you submit data, including contact details, identification, or financial information.
4.2. Not engage in prohibited activities, including but not limited to:
4.2.1. Uploading, posting, or transmitting any content that is unlawful, defamatory, fraudulent, harassing, abusive, obscene, hateful, discriminatory, or otherwise objectionable.
4.2.2. Using automated means such as bots, scrapers, or crawlers to access, extract, or harvest data from the Site without our prior written consent.
4.2.3. Attempting to probe, scan, or test the vulnerability of our systems or networks without authorisation.Introducing any viruses, worms, trojans, or other malicious code intended to disrupt, damage, or gain unauthorised access to the Site or our systems.
4.2.4. Misrepresenting your identity, qualifications, or authority when communicating with us.
4.3. Refrain from interfering with the proper working of the Site or with any other user’s experience.
4.4. Comply with financial regulations, including anti-money laundering, anti-fraud, and securities laws in any jurisdiction in which you operate.
We reserve the right to monitor your use of the Site and to investigate and take legal action against any user who, in our sole discretion, violates these provisions.
5. Account Security
Where the Site or any Louer Capital service requires you to register for an account, the following provisions apply in full:
5.1.1.You must provide complete, accurate, and truthful information during account creation. This includes your legal name, valid contact details, and any other information we reasonably require.
5.1.2. You must update your account information promptly to keep it current and accurate.
5.1.3. Providing false or misleading information is grounds for immediate suspension or termination of your account and may result in legal action.
5.2. Credential Security5.2.1. You are solely responsible for maintaining the confidentiality of your login credentials, including usernames, passwords, security questions, and any authentication codes.
5.2.2. You must not share your credentials with any other person or entity.
5.2.3. If you suspect unauthorised access to your account, you must notify us immediately in writing.
5.3. Account Usage5.3.1. All activity conducted under your account is deemed to have been authorised by you, whether or not it was carried out by you personally.
5.3.2. Louer Capital is not responsible for any loss, damage, or liability arising from unauthorised access to your account caused by your failure to maintain proper security measures.
5.4. Account Suspension or Termination5.4.1 We reserve the right to suspend or close your account at our sole discretion, with or without notice, if we believe your account is compromised, inactive, or in breach of these Terms.
6. Intellectual Property Rights
All intellectual property rights in and to the Site, including but not limited to its text, graphics, photographs, videos, designs, logos, trademarks, service marks, icons, layout, and software, are owned by Louer Capital or licensed to us by third parties.These rights are protected by Nigerian copyright laws, international copyright treaties, and other applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content strictly for personal reference, educational purposes, or internal business evaluation within your organisation. This license is granted solely for non-commercial use and does not extend to any activity intended to generate revenue, provide services to third parties, or otherwise create commercial advantage.

6.2.1. Reproducing, copying, selling, reselling, distributing, publishing, modifying, displaying, transmitting, or otherwise exploiting any Content, in whole or in part, for commercial gain, external business use, or client-facing purposes, without our prior written authorisation.
6.2.2. Using Content as part of any consulting, advisory, training, or resale service, whether directly or indirectly.
6.2.3. Creating derivative works, competitive products, or substituting Louer Capital’s Content in any commercial offering.
6.3. Prohibited Uses6.3.1.You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Site.
6.3.2. You may not use any trademark, service mark, or trade name of Louer Capital without our explicit written authorisation.
6.4. Reservation of Rights6.4.1. All rights not expressly granted herein are reserved to Louer Capital.
7. Confidentiality
7.1.1. “Confidential Information” includes, but is not limited to, non-public business, financial, operational, and strategic information disclosed by one party to the other, whether in writing, orally, or electronically, and whether marked as confidential or not.
7.2. Obligations7.2.1. You agree not to disclose, reproduce, or use Confidential Information for any purpose outside the scope of your permitted use of the Site without our prior written consent.
7.2.2. Louer Capital will similarly protect any confidential information you provide, subject to our obligations under Applicable Law.
Confidential Information does not include information that:
7.3.1. Is or becomes public knowledge without breach of these Terms;
7.3.2. Is rightfully received from a third party without confidentiality obligations;
7.3.3. Is independently developed without use of Confidential Information;
7.3.4. Must be disclosed pursuant to legal or regulatory obligations.
8. Financial Disclaimer and Risk Notice
8.1.1. All Content provided on this Site is for general informational purposes only and should not be construed as investment, legal, accounting, or tax advice
8.1.2. Louer Capital does not provide personalised financial recommendations through the Site.
8.2. Risk Factors8.2.1. Investment and financial activities involve substantial risk and are not suitable for all investors. These risks include, but are not limited to, market volatility, loss of principal, currency fluctuations, and changes in Applicable Law.
8.2.2. Past performance is not a guarantee or indicator of future results.
8.3. User Responsibility8.3.1. You are solely responsible for evaluating the merits and risks associated with any financial decision before acting on any information provided via the Site.
8.3.2. We strongly recommend consulting independent financial advisors prior to making investment decisions.
9. Compliance with Anti-Money Laundering (AML) and Know Your Customer (KYC) Regulations
Louer Capital strictly adheres to AML and KYC obligations under Nigerian law, the Financial Action Task Force (FATF) Recommendations, and other applicable global standards.
We may require you to submit identification documents, corporate registration certificates, beneficial ownership declarations, proof of address, and other documentation for identity verification.Failure to provide required documentation within a reasonable period may result in refusal of service or account termination.
We reserve the right to monitor transactions and report suspicious activities to relevant authorities without prior notice to you, as permitted or required by law.
You may not use our Site or Services to facilitate transactions involving:
9.4.1. Funds derived from criminal activity;
9.4.2. Terrorist financing;
9.4.3. Entities or individuals on any applicable sanctions list.
10. Third-Party Links
The Site may contain hyperlinks to third-party websites for your convenience. Such links do not constitute endorsement or verification by Louer Capital.
You access and use third-party sites entirely at your own risk, and Louer Capital accepts no responsibility for the content, accuracy, or security of any such sites.
We have no control over the terms, privacy policies, or practices of third-party websites, and you should review those policies carefully before interacting with them.
11. Disclaimers
11.1.1. The Site, its Content, and any related communications are provided strictly on an “as is” and “as available” basis. Louer Capital makes no representations or warranties, express or implied, regarding the accuracy, completeness, timeliness, reliability, suitability, or availability of the Site or any Content therein.
11.1.2. We do not warrant that the Site will meet your specific requirements, that it will operate without interruption, or that it will be free from defects, viruses, or other harmful components.
Nothing on the Site should be construed as financial, legal, accounting, or tax advice. You should consult your own professional advisors before making any decisions based on information obtained from the Site.
Louer Capital is not responsible for delays, interruptions, or failures in performance caused by factors beyond our reasonable control, including but not limited to technical malfunctions, internet outages, third-party service failures, or force majeure events.

12. Limitation of Liability
To the fullest extent permitted by Applicable Law, Louer Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising from your use of or inability to use the Site or its Content.
In no event shall Louer Capital’s total aggregate liability to you for all claims arising out of or related to our Site exceed:
12.2.1.The total amount you have paid to Louer Capital for any Services in the three (3) months preceding the event giving rise to the liability; or
12.2.2.USD 100, whichever is greater.
You expressly acknowledge and agree that the limitations and exclusions of liability set out in this section are reasonable, given the nature of the Site and the absence of a direct service fee for its use.
13. Indemnification
You agree to defend, indemnify, and hold harmless Louer Capital, its affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
13.1.1.Your breach of these Terms;
13.1.2.Your misuse of the Site or Content;
13.1.3.Your violation of Applicable Law;
13.1.4.Your infringement or alleged infringement of any intellectual property or other rights of a third party.
Louer Capital reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in such defence.
14. Electronic Communications Consent
By using the Site, you consent to receive all communications, agreements, notices, disclosures, and other correspondence electronically, whether by email, postings on the Site, or other digital means.
You agree that all electronic communications satisfy any legal requirements for written communication and have the same force and effect as if provided in paper form.
You may opt out of certain non-essential communications by following the unsubscribe instructions included in such communications, but you may not opt out of essential service-related notices.
15. Data Security
Louer Capital employs industry-standard technical, administrative, and physical safeguards designed to protect the integrity, confidentiality, and security of information transmitted through the Site.
While we take reasonable measures to secure your data, you acknowledge that no method of electronic transmission or storage is entirely secure. Louer Capital cannot guarantee the absolute security of your information.
You are responsible for safeguarding your own devices, networks, and login credentials to prevent unauthorised access. Louer Capital is not responsible for losses arising from compromised user systems.
16. Force Majeure
A “Force Majeure Event” means any event beyond Louer Capital’s reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, strikes, lockouts, pandemics, government actions, power outages, cyberattacks, or failures of third-party service providers.
Louer Capital shall not be deemed in breach of these Terms or liable for delay or failure to perform any obligation due to a Force Majeure Event.
We will make reasonable efforts to notify users of the occurrence of a Force Majeure Event and its expected impact on Site operations.
17. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter amicably through good faith negotiations before pursuing formal legal action.
If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act of Nigeria, with proceedings conducted in English in Abuja, Nigeria.
Notwithstanding the above, either party may seek injunctive or equitable relief from the competent courts of Abuja, Nigeria, without waiving the arbitration requirement for other claims.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator, the remaining provisions shall continue in full force and effect.
Where possible, the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
19. Waiver
Any failure or delay by Louer Capital to exercise any right, remedy, or privilege under these Terms shall not constitute a waiver thereof.
A waiver is effective only if expressly stated in a written document signed by an authorised representative of Louer Capital.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws rules.
Subject to the arbitration clause, the courts of Abuja, Nigeria, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
